Terms of Service

1. Service description

DunningHQ (“the Service”) is an AI-powered payment recovery platform for SaaS businesses. We help you recover failed subscription payments through smart retry scheduling and AI-personalized recovery emails. DunningHQ is a product of CultureIQ Labs Corp.

DunningHQ is not a payment processor, financial institution, or provider of financial advice. We are a software tool that automates payment recovery actions through your existing Stripe account.

2. Stripe Connect authorization

To use DunningHQ, you must authorize access to your Stripe account via Stripe Connect (OAuth). By connecting your Stripe account, you grant DunningHQ permission to:

• Read invoice and payment failure data.
• Retry failed payments on your behalf according to decline-code-specific schedules.
• Access customer email addresses to send recovery emails on your behalf.

You may disconnect your Stripe account at any time from the DunningHQ dashboard or from your Stripe settings.

3. Pricing and billing

DunningHQ is offered at a flat rate of $49 USD per month. All new accounts receive a 14-day free trial with full access to all features. No credit card is required to start a trial.

After the trial period, you must subscribe to continue using the Service. If you do not subscribe, payment retries and recovery emails will be paused until a subscription is active.

4. Cancellation

You may cancel your subscription at any time. There are no contracts or cancellation fees. Upon cancellation, you retain access to the Service until the end of your current billing period. After that, payment retries and recovery emails will stop.

5. Limitation of liability

DunningHQ does not guarantee that any specific failed payment will be recovered. Recovery outcomes depend on factors outside our control, including your customers' bank policies, card status, and available funds.

To the maximum extent permitted by law, CultureIQ Labs Corp. and DunningHQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost revenue, lost profits, or loss of data, arising from your use of the Service.

Our total liability to you for any claim arising out of or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

6. Disclaimer

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

DunningHQ does not provide financial advice, tax advice, or payment processing services. We are a software automation tool. You remain solely responsible for your Stripe account, your customer relationships, and your compliance with applicable laws.

7. Prohibited use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to access another user's account or data without authorization.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service to send unsolicited emails (spam) or emails unrelated to payment recovery.
• Interfere with or disrupt the Service or its infrastructure.

8. Account termination

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms, are using the Service fraudulently, or your use poses a risk to other users or our infrastructure.

9. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

10. Governing law

These Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec, Canada.
